Should I form an LLC or a C-Corp?
It depends on your goals. A C-Corp is the standard structure for startups planning to raise venture capital — it supports preferred stock, stock options, and institutional investment. An LLC offers pass-through taxation and operational flexibility, making it ideal for bootstrapped companies, consulting firms, and real estate ventures. We analyze your business model, fundraising plans, and tax situation to recommend the right structure — and form it in the optimal state for your needs.
Why do so many startups incorporate in Delaware?
Delaware offers several advantages for startups: a well-established body of corporate law (the Court of Chancery), investor familiarity, strong liability protections, no state corporate income tax on out-of-state revenue, and privacy protections for officers and directors. Most VCs and accelerators expect Delaware C-Corp formation. However, Delaware incorporation means you'll also need to foreign-qualify in any state where you have employees, an office, or significant business activity. We handle both the DE formation and all foreign qualifications.
What licenses does a startup need?
It depends on your industry, location, and business activities. At minimum, most startups need: a federal EIN from the IRS, state business registration with the secretary of state, and local business licenses or permits. Industry-specific licenses vary widely — fintech companies may need money transmitter licenses, healthtech companies may need HIPAA compliance certifications, food businesses need health permits. What is foreign qualification and when do I need it?
Foreign qualification is the process of registering your company to do business in a state other than where you were incorporated. If your Delaware C-Corp has employees in California, an office in New York, or significant sales in Texas, you need to foreign-qualify in each of those states. Each state has its own filing, fees, and ongoing requirements (annual reports, franchise taxes, registered agent).
